BAZING FUEL CASHBACK TERMS AND CONDITIONS

  1. PROGRAM ADMINISTRATOR AND OPERATOR

The BaZing Fuel Cashback Rewards Program (the "Program") is administered by StrategyCorps, LLC ("StrategyCorps," "Program Administrator," "we," "us," or "our"). StrategyCorps operates and maintains the website located at BaZing.com (the "Website") and the BaZing mobile application (the "App"). The Website and App are collectively referred to as the "Platform."

  1. ACCEPTANCE OF TERMS

By enrolling in, accessing, or participating in the Program, you ("you," "your," or "Accountholder") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (these "Terms"), as well as any additional terms and policies referenced herein. If you do not agree to these Terms, you may not participate in the Program.

  1. ELIGIBILITY

3.1 General Eligibility. Participation in the Program is restricted to individuals who:

  • Are accountholders of a participating financial institution that has partnered with StrategyCorps to offer the Program;
  • Maintain an eligible checking account in good standing with such participating financial institution;
  • Have successfully completed the enrollment process as described in Section 4 below.

3.2 Geographic and Legal Restrictions. This Program, or any portion thereof, is void where prohibited, restricted, or otherwise unlawful under applicable federal, state, or local laws or regulations.

  1. ENROLLMENT AND ACCOUNT CONNECTION

4.1 Plaid Connection Required. To participate in the Program, you must connect your eligible checking account through Plaid Inc. ("Plaid"), a third-party financial services platform. By connecting your account, you authorize Plaid to access your account information and transaction data.

4.2 Third-Party Terms. Your use of Plaid is subject to Plaid's Terms of Service and Privacy Policy, which are incorporated herein by reference. You acknowledge and agree that:

  • BaZing uses Plaid to gather your data from financial institutions;
  • Your personal and financial information will be transferred, stored, and processed by Plaid in accordance with the Plaid Privacy Policy;
  • StrategyCorps is not responsible for Plaid's services, policies, or any issues arising from your use of Plaid; and
  • You must comply with all terms and conditions imposed by Plaid.
  1. QUALIFYING FOR REWARDS

5.1 Monthly Transaction Requirement. To qualify for cashback rewards in any given calendar month, you must meet the minimum qualifying transaction activity, defined in your program material, during that month using your connected checking account.

5.2 Qualifying Transactions. For purposes of this Program, qualifying transactions include purchases, payments, and other debit transactions posted to your connected checking account. The following transaction types are specifically excluded from the qualifying transaction count:

  • ATM withdrawals;
  • Account-to-account transfers;
  • Deposits;
  • Refunds, credits, or reversals;
  • Pending or declined transactions; and
  • Any other transaction types deemed non-qualifying at our sole discretion.

5.3 Reward Eligibility Period. Subject to meeting the monthly transaction requirement, fuel purchases made during that calendar month using your connected checking account will be eligible for cashback rewards as specified in the Program materials.

5.4 Fuel Purchase Definition. Fuel purchases eligible for cashback rewards are transactions categorized as fuel or gasoline purchases at participating merchants. We rely on transaction information to identify fuel purchases. Transactions at convenience stores that are not specifically coded as fuel purchases may not qualify.

5.5 Discretionary Determination. All determinations regarding whether a transaction qualifies for rewards, including transaction categorization and merchant eligibility, shall be made in our sole and absolute discretion. We reserve the right to verify, review, audit, and adjust reward balances at any time, with or without notice.

  1. EARNING AND CREDITING REWARDS

6.1 Reward Accrual. Cashback rewards are earned after:

  • Your eligible checking account has been successfully connected to the Platform via Plaid;
  • You have met the monthly transaction requirement as set forth in Section 5.1; and
  • You have completed qualifying fuel purchases as described in Section 5.4.

6.2 No Retroactive Rewards. Rewards will not be provided retroactively for transactions that occurred prior to your enrollment in the Program or prior to your account being successfully connected via Plaid.

6.3 Reward Calculation and Rounding. Cashback rewards will be calculated based on the cashback rate applicable to your Program tier or as otherwise specified in Program communications. All reward amounts will be rounded to the nearest whole increment (e.g., to the nearest dollar or cent, as applicable).

6.4 Crediting Timeline. Rewards will typically be credited to your account within 30 (thirty) days after the end of the month in which qualifying transactions were made, subject to verification and processing. Actual crediting times may vary.

  1. PROGRAM RULES AND RESTRICTIONS

7.1 Non-Transferability. Rewards earned through the Program are personal to you and may not be sold, transferred, assigned, or otherwise conveyed to any other person or entity.

7.2 Reward Limits. We may impose monthly, quarterly, or annual limits on the amount of rewards that can be earned. Any such limits will be communicated through the Platform or Program materials.

7.3 Account in Good Standing. To earn and receive rewards, your connected checking account must remain open, active, and in good standing with your financial institution. If your account is closed, suspended, or otherwise not in good standing, you may forfeit any pending or unredeemed rewards.

  1. DISQUALIFICATION AND TERMINATION

8.1 Grounds for Disqualification. We reserve the right to suspend, disqualify, or terminate any Accountholder's participation in the Program, and to forfeit any accrued or pending rewards, if we determine, in our sole judgment, that such Accountholder has:

  • Engaged in fraud, abuse, or misuse of the Program;
  • Violated these Terms or any other applicable terms, policies, or agreements;
  • Provided false, misleading, or inaccurate information;
  • Engaged in conduct that is harmful to StrategyCorps, the Program, participating financial institutions, or other participants;
  • Ceased to meet eligibility requirements; or
  • Otherwise acted in a manner inconsistent with the spirit or intent of the Program.

8.2 Effect of Termination. Upon termination or disqualification, you will immediately lose access to the Program and any unredeemed rewards. We are not obligated to provide notice prior to termination or disqualification, though we may elect to do so in our discretion.

  1. MODIFICATION, SUSPENSION, AND DISCONTINUATION

9.1 Right to Modify. We reserve the right to modify, amend, supplement, or update these Terms, the Program structure, reward rates, eligibility requirements, or any other aspect of the Program at any time, with or without prior notice. Your continued participation in the Program following any such changes constitutes your acceptance of the modified Terms.

9.2 Right to Suspend or Discontinue. We reserve the right to suspend, discontinue, or terminate the Program, in whole or in part, at any time and for any reason, with or without notice. Upon discontinuation of the Program, any unredeemed rewards may be forfeited unless otherwise required by applicable law.

9.3 No Liability. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Program or these Terms.

  1. PRIVACY AND DATA USAGE

10.1 Privacy Policy. Our collection, use, and disclosure of your personal information is governed by the StrategyCorps Privacy Policy, which is available on the Platform and incorporated herein by reference. By participating in the Program, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

10.2 Third-Party Data Sharing. As described in Section 4.2, your information will be shared with and processed by Plaid. You acknowledge that Plaid's handling of your information is subject to Plaid's own privacy policies and practices.

10.3 Transaction Monitoring. By participating in the Program, you authorize us to access, monitor, and review your transaction data for purposes of administering the Program, calculating rewards, preventing fraud, and ensuring compliance with these Terms.

  1. DISPUTES AND CUSTOMER SERVICE

11.1 Contacting Us. If you have questions, concerns, or disputes regarding the Program, reward calculations, or these Terms, you may contact us using:

  • The "Contact Us" feature available on the BaZing.com Website; or
  • The contact functionality within the BaZing mobile App.

11.2 Documentation Requirements. To facilitate the resolution of any dispute concerning reward calculations or eligibility, we may request that you provide:

  • A statement from your linked checking account showing posted transactions for the relevant period;
  • Screenshots or other documentation evidencing the disputed transaction(s); or
  • Any other information reasonably necessary to investigate and resolve the dispute.

11.3 Error Correction. We reserve the right to adjust your reward balance, add or remove rewards, or take other corrective action if a system error, technical malfunction, human error, or other issue prevents the proper awarding or calculation of rewards or otherwise results in an incorrect reward balance.

11.4 Final Determination. All decisions regarding reward eligibility, calculations, disputes, and Program administration are made in our sole discretion and are final and binding.

  1. DISCLAIMERS AND LIMITATIONS OF LIABILITY

12.1 No Warranties. THE PROGRAM AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PROGRAM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

12.2 Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRATEGYCORPS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE PROGRAM OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.3 Maximum Liability. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE PROGRAM OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT OF REWARDS ACTUALLY CREDITED TO YOUR ACCOUNT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

  1. ACKNOWLEDGMENT

BY ENROLLING IN AND PARTICIPATING IN THE BAZING FUEL CASHBACK REWARDS PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
